Website Services Agreement

PLEASE READ THIS AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES.

OVERVIEW

The Universal Terms of Service Agreement sets forth the general terms and conditions of your use of the Site (https://www.liveviralmedia.com) and Services provided by Weecks Productions, LLC dba LiveViral Media (“we”, “LiveViral”, “LiveViral Media”, or “Weecks Productions, LLC”). This Website Service Agreement (this “Service Agreement”) governs You, the user or recipient of services provided by Weecks Productions, LLC dba LiveViral Media (the “Client”, “You”, “Your”) your use of the website and marketing-related services provided by Weecks Productions, LLC dba LiveViral Media, including website hosting through our third-party hosting partner (“Website Services”). Capitalized terms used in this Service Agreement, but not defined, are defined in the Universal Terms of Service Agreement (https://www.liveviralmedia.com/legal/universal-terms-of-service-agreement).

Weecks Productions, LLC dba LiveViral Media provides website design, development, hosting, and marketing services as described herein. We do not offer subscription-based services or software products for your independent use. All services are performed by Weecks Productions, LLC dba LiveViral Media or through our third-party partners as outlined below.

DESCRIPTION OF SERVICES

Website and Marketing Services. Weecks Productions, LLC dba LiveViral Media provides professional services to design, create, and promote your online presence. These services may include website design with custom or pre-designed templates, email marketing campaigns, video and photography creation or editing, business profile management on platforms such as Google and Instagram, and search engine optimization (SEO), among others. The specific services provided will depend on your geographic region and the service plan you purchase as detailed in your individual service contract.

Hosting Services. Weecks Productions, LLC dba LiveViral Media will host the client’s website on servers owned and maintained by a third-party hosting partner. The client may request server access, which will be provided at our discretion through a white-labeled client dashboard. The website will remain hosted with Weecks Productions, LLC dba LiveViral Media through our third-party partner; however, we are not responsible for customer support related to hosting beyond facilitating access to the third-party provider’s services. If the client cancels this agreement, hosting services will terminate on the cancellation date, and the website will be deleted and unrecoverable. It is the client’s responsibility to transfer their domain, hosting, and any assets to a new provider if desired. For an additional one-time fee, Weecks Productions, LLC dba LiveViral Media can provide a backup of the website on an external hard drive or flash drive and mail it to the client upon request.

Marketing Services. Our marketing services include support to update your website, create and post social media content, and set up social ads on platforms such as Facebook. The level of service depends on the purchased service tier as detailed in your individual service contract.

Social Media Services. Weecks Productions, LLC dba LiveViral Media offers support to enhance your social media presence, including social profile optimization, review responses, custom social media posts, branded email campaigns, and reporting. The exact features depend on the service plan purchased as detailed in your individual service contract.

Digital Marketing Services. These services may include email marketing, social media profile management on platforms like Google, Facebook, or Instagram, and SEO to optimize your website for web searches. Weecks Productions, LLC dba LiveViral Media performs these services on your behalf based on the purchased plan or may consult and provide you input and recommendations for you to do it yourself. In either case, Weecks Productions, LLC dba LiveViral Media is not responsible for results, lack of desired results or outcomes, public relations issues or challenges that arise, or any other liability that may arise from its creative discretion or profile management services.

ACCOUNT TERMINATION; LIMITATIONS

Sample Terms and Conditions. Any sample terms and conditions provided are for reference only and are used at your own risk. Weecks Productions, LLC dba LiveViral Media does not guarantee their legality and recommends consulting an attorney to ensure they meet your needs, are appropriate for your jurisdiction, and are legally binding on your customers.

Templates. Templates, services, and advice provided to you by Weecks Productions, LLC dba LiveViral Media may vary based on the services requested and your geographic region. Communications and services are primarily provided in English. If there is a fee for template(s) or other third-party assets being used in your website or marketing strategy, you will be responsible for that cost as well as any convenience fee assessed by Weecks Productions, LLC dba LiveViral Media that will not be included in your service fees or base contract price with Weecks Productions, LLC dba LiveViral Media.

YOUR OBLIGATIONS; REPRESENTATIONS AND WARRANTIES

You are responsible for ensuring your website, social media, and any data comply with all applicable local, state, federal, and international laws. Weecks Productions, LLC dba LiveViral Media is not responsible for any content you post, laws or rules you violate, or any other issues which may arise from the actions you take while using hosting services from Weecks Productions, LLC dba LiveViral Media.

Backups. You are solely responsible for saving and backing up your website, social media channels, online data, and any User Content or information sent or received using our services.

User Content and Website Content. Your User Content includes any registered domain names provided by you or registered on your behalf in connection with the Services. Weecks Productions, LLC dba LiveViral Media relies on your representation that you have the right to use all content you provide or control. You represent and warrant that you have all necessary rights, title, and interest in User Content or possess the necessary rights and consents to permit its use in connection with our services. Uploaded content may be immediately available and cached or saved by Weecks Productions, LLC dba LiveViral Media for up to three years, although saving your data will not be an obligation or requirement of Weecks Productions, LLC dba LiveViral Media; deleting User Content does not remove cached or saved versions. By providing content, you grant Weecks Productions, LLC dba LiveViral Media an unrestricted license to use it to provide the agreed services and to display screenshots or videos of your website in marketing materials at the discretion of Weecks Productions, LLC dba LiveViral Media.

Storage and Security. You are responsible for maintaining your website and all content. You must: (i) prevent loss or damage to your content; (ii) maintain independent backups; and (iii) ensure the security, confidentiality, and integrity of content transmitted or stored via our services. Our hosting services are not an archive, and Weecks Productions, LLC dba LiveViral Media is not liable for loss, damage, or destruction of your content.

CUSTOMIZABLE PAGE, STOREFRONT, AND APPOINTMENT SERVICES

Weecks Productions, LLC dba LiveViral Media may provide services to create and manage a customizable page, online storefront, or appointment scheduling system, enabling you to:

Add, manage, and present a catalog of products/services online via a URL, domain, or subdomain;
Sell services, physical, or downloadable goods online;
Collect payments, including tax and shipping fees;
Gather credit card and personal information for transactions;
Schedule appointments and sync calendars across platforms;
Perform order management and processing;
Generate business reports related to storefront activity.

The scope of these services depends on the plan or services purchased and your geographic region as detailed in your individual service contract.

Performance. Website performance may vary based on product volume and constraints like system architecture, capacity, load, and end-user connectivity. Weecks Productions, LLC dba LiveViral Media is not responsible for performance issues on your website or social media channels, like slow load time.

End Customer Payment and Taxes. You are responsible for collecting and managing your own customer payments and all applicable taxes. Weecks Productions, LLC dba LiveViral Media is not responsible for payment or tax accuracy or compliance with domestic or foreign tax, shipping, or export laws.

THIRD-PARTY IMAGES AND SOFTWARE

As part of our services, you may use third-party photographs, illustrations, images (“Images”), or software, widgets, or applications (“Software”). Your use is subject to any applicable third-party license agreements in addition to this Service Agreement. You may use these solely for the services provided, without modifying or removing proprietary notices, or selling, reverse-engineering, or creating derivative works. Weecks Productions, LLC dba LiveViral Media may share your information (e.g., domain name) with third-party providers as needed and may modify or discontinue these offerings at any time. We make no warranties about third-party Images or Software and disclaim liability for their use. You will indemnify Weecks Productions, LLC dba LiveViral Media against claims arising from your use or misuse of these materials.

PROVISIONS SPECIFIC TO WEBSITE AND MARKETING SERVICES

Integration with Hosting Platform. Websites created by Weecks Productions, LLC dba LiveViral Media are hosted on a platform provided through our third-party hosting partner. You may not migrate or transfer the website to another provider without paying our one-time transfer fee of $125.

Ownership of Websites. Except for User Content, websites created by Weecks Productions, LLC dba LiveViral Media remain its property, protected by U.S. and international intellectual property laws. Weecks Productions, LLC dba LiveViral Media will grant you a license to use the website while services are active and your account is not in default of any payments. Termination of services by Weecks Productions, LLC dba LiveViral Media or by Client ends this license. You must prevent unauthorized copying of website(s), assets, and resources used during the website’s creation. No additional intellectual property rights are granted beyond what is specified herein.

Social Media Posts. Content created for social media (e.g., text, images, videos) by Weecks Productions, LLC dba LiveViral Media, including all intellectual property rights, is owned by Weecks Productions, LLC dba LiveViral Media or its licensors. You may use this content for personal or commercial purposes as part of our services, provided you do not alter or present any material in a way that is defamatory or libelous to any party, involved or otherwise. Redistribution or publication of copyrighted material without permission is prohibited. Services are provided for educational, entertainment, promotional, or commercial purposes as outlined, and you may not rely on them for other purposes. Weecks Productions, LLC dba LiveViral Media is not liable for third-party content accuracy or reliability.

Marketing Services Execution. Requests for marketing updates must be submitted through designated channels. Weecks Productions, LLC dba LiveViral Media will complete updates and publish them once all necessary materials are received unless clarification is needed. Support is available 8am–4pm Arizona time, Monday–Friday, with responses to inquiries within 3 business days.

PROVISIONS SPECIFIC TO SOCIAL AND MARKETING SERVICES

Proprietary Rights. “Content” includes text, graphics, images, etc., provided through our services. “LiveViral Media Content” is content we create or license; “Customer Content” is content you provide. We do not claim ownership of Customer Content but retain all rights to LiveViral Media Content and services. You grant us a non-exclusive, worldwide, royalty-free license to use, modify, and distribute Customer Content to provide our services. You warrant that your Customer Content does not infringe third-party rights or violate laws and accept all risks associated with it.

Content Removal. You may request removal of Customer Content, though some may remain in LiveViral Media’s archives or stored on our server(s) or computer systems. We are not liable for failure to remove content.

Photographs, Videos, and Recordings. If we create media for you, it is LiveViral Media Content owned by us. You must secure third-party permissions if applicable. We may grant a license for external use for a fee.

Third-Party Access. You may allow us to manage third-party profiles (e.g., social media) using your credentials. We act as your agent, not the third party’s, and may post content, access information, or host services as needed. Upon termination, you retain control of non-hosted third-party services.

Reasonable Use. On-demand social media and email marketing services are subject to reasonable use limits at our discretion. Excessive requests may lead to contact prior to limitation.

Content Limits. Your use must comply with laws and not involve illegal, harmful, or infringing activities. We may remove objectionable content or investigate violations at our discretion.

TERMINATION AND CANCELLATION

You may cancel services at any time. If hosted with our third-party partner, hosting terminates on the cancellation date, and your website will be deleted unless transferred by you. If your website and/or domain is/are hosted elsewhere, services provided by Weecks Productions, LLC dba LiveViral Media terminate as agreed.

60-Day Satisfaction Guarantee. If you’re not completely satisfied within 60 days of launch, we’ll refund 100% of your monthly service fees paid. Setup fee refunds are prorated based on work completed: 80% refund if cancelled during design phase, 60% during development phase, 40% after substantial development completion, and monthly fees only after launch. Refund requests must be submitted in writing.

GOVERNING LAW AND DISPUTE RESOLUTION

Any legal disputes arising from or related to this Service Agreement will be governed by the laws of the State of Arizona. All disputes shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and both parties consent to the jurisdiction and venue of such courts.
