PLEASE READ THIS UNIVERSAL TERMS OF SERVICE AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES.

1. OVERVIEW

This Universal Terms of Service Agreement (this “Agreement”) is entered into by and between Weecks Productions, LLC dba LiveViral Media, an Arizona limited liability company (“Weecks Productions, LLC dba LiveViral Media”), and you (“User), and is made effective as of the date of your use of the website located at liveviralmedia.com (“Site”) or the date of your electronic acceptance. This Agreement sets forth the general terms and conditions of your use of the Site and the services provided by Weecks Productions, LLC dba LiveViral Media, including website design, development, hosting, and marketing services (individually and collectively, the “Services”). Specific agreements, arrangements, or policies that apply to certain Services (“Services Agreements”) are in addition to, and not in lieu of, this Agreement. In the event of a conflict between a Services Agreement and this Agreement, the provisions of the applicable Services Agreement shall control.

The terms “we”, “us”, or “our” refer to Weecks Productions, LLC dba LiveViral Media. The terms “you”, “your”, “User”, or “customer” refer to any individual or entity who accepts this Agreement, has access to an account with Weecks Productions, LLC dba LiveViral Media, or uses the Site or Services. Nothing in this Agreement confers any third-party rights or benefits.

2. MODIFICATION OF AGREEMENT, SITE, OR SERVICES

Weecks Productions, LLC dba LiveViral Media may, in its sole discretion, modify this Agreement or any incorporated policies at any time, with changes effective immediately upon posting to the Site. Your continued use of the Site or Services after such changes constitutes acceptance of the revised Agreement. If you do not agree with the revised Agreement, you must discontinue use of the Site and Services. We may notify you of changes via posting on this page or email if you hold an account with us, in which case it is your responsibility to maintain current contact information in your account (“Account”). Weecks Productions, LLC dba LiveViral Media is not liable for your failure to receive notifications due to inaccurate contact information or not returning to this page to check for updates. We reserve the right to modify, suspend, or discontinue any aspect of the Site or Services, including pricing, at any time without notice, and may terminate your access to Services for any violation of this Agreement.

3. ELIGIBILITY; AUTHORITY

The Site and Services are available only to individuals or entities (“Users”) capable of forming legally binding contracts under applicable law. By using the Site or Services, you represent and warrant that you are: (i) at least eighteen (18) years of age; (ii) legally capable of entering contracts; and/or (iii) not barred from receiving Services under U.S. or other applicable laws.

If entering this Agreement on behalf of an entity, you warrant that you have legal authority to bind that entity, and “you”, “your”, “User”, or “customer” refers to that entity. If Weecks Productions, LLC dba LiveViral Media determines you lack such authority, you will be personally responsible for all obligations, including payment. We are not liable for losses resulting from reliance on communications reasonably believed to be authorized. We may require additional authentication if there is doubt about communication authenticity. You are bound by this Agreement for transactions conducted by you, your agents, or anyone using your Account, whether authorized or not.

4. YOUR ACCOUNT

To access certain features of the Site or Services, you must create an Account. You warrant that all information provided during Account creation is accurate, current, and complete, and you agree to keep it updated. If Weecks Productions, LLC dba LiveViral Media suspects your Account information is inaccurate or incomplete, we may suspend or terminate your Account. You are solely responsible for all activity on your Account, whether authorized or not, and must secure your Account credentials, including customer number/login, password, and payment method(s) (“Payment Method”). We recommend changing your password every six (6) months. You must notify us immediately of any security breach or unauthorized Account use. We are not liable for losses due to unauthorized use, but you may be liable for losses incurred by us or others due to such use.

5. GENERAL RULES OF CONDUCT

You agree that your use of the Site and Services, including any content you submit, will comply with this Agreement, any applicable Services Agreement, and all local, state, national, and international laws. You further agree:

• Not to collect or harvest User Content (as defined below) or personally identifiable information (“PII) without express prior written consent.
• Not to use the Site or Services in a manner that, as determined by Weecks Productions, LLC dba LiveViral Media in its sole discretion:
  • Is illegal, harmful, or promotes illegal or harmful activity;
  • Promotes exploitation of children or child sexual abuse material (CSAM);
  • Promotes self-harm or suicide;
  • Encourages terrorism or violence against people, animals, or property;
  • Involves spam, unsolicited bulk email, or hacking;
  • Violates laws like the Ryan Haight Online Pharmacy Consumer Protection Act of 2008 or the Fight Online Sex Trafficking Act of 2017;
  • Infringes intellectual property, privacy, or publicity rights;
  • Interferes with Site or Services operations;
  • Contains viruses, worms, or other harmful code;
  • Includes false or deceptive claims about Weecks Productions, LLC dba LiveViral Media or its Services.
• Not to engage in fraudulent or abusive activity or impose unreasonable loads on our infrastructure.
• Not to copy or distribute any part of the Site or Services without our express consent.
• Not to modify or alter the Site, Services, or related technologies.
• Not to access Weecks Productions, LLC dba LiveViral Media Content (as defined below) or User Content except through the Site or as we designate.
• To back up your User Content and accept the risk of its loss, as we do not guarantee backups.
• Not to resell or provide Services for commercial purposes without our written consent.
• Not to circumvent security features or restrictions on the Site or Services.
• To provide government-issued identification when requested for verification.
• To consent to call recording for account-related communications, subject to applicable laws, and to marketing calls or texts, understanding that consent is not required to purchase Services.

We may deny, suspend, or terminate access to the Site or Services for any User who violates this Agreement, engages in unlawful activity, or has previously had Services terminated, as determined in our sole discretion. If we suspect fraud or abuse, we may cancel Services, close Accounts, and pursue legal action, with you liable for associated costs and damages.

6. PROTECTION OF PERSONALLY IDENTIFIABLE INFORMATION

Weecks Productions, LLC dba LiveViral Media may process personally identifiable information (“PII”) about you or your customers as part of providing Services. When processing PII for our purposes, we act according to our Privacy Policy.

7. USER CONTENT

The Site and Services may allow Users to post, publish, share, store, or manage: (a) ideas, opinions, recommendations, or advice via posts, submissions, reviews, or media (“User Submissions”); (b) literary, artistic, musical, or other content, such as photos and videos; or (c) other business or customer information (collectively with User Submissions, “User Content”). Content submitted through your Account or processed on your behalf is considered User Content.

You must not post User Content that violates this Agreement or applicable laws (“Prohibited Content”). By submitting User Content, you represent and warrant that: (i) you have all necessary rights to process and distribute it, either as the author or with appropriate licenses or consents; and (ii) it does not contain Prohibited Content or violate third-party rights. You are solely responsible for your User Content and its consequences.

User Submissions. User Submissions are voluntary, do not create a confidential relationship, and do not obligate us to use them or compensate you. We may be developing similar content independently or from other sources. We own exclusive rights, including intellectual property, to User Submissions posted to the Site and may use them without restriction or compensation.

Other User Content. By posting User Content to the Site or Services, you grant Weecks Productions, LLC dba LiveViral Media a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works, display, and perform your User Content in connection with the Site, Services, and our business, including for promotion, without payment or notification. You also grant other Users a non-exclusive license to access non-private User Content through the Site and use it as permitted. This license terminates within a reasonable time after you remove your User Content, though we may retain server copies for archival purposes. We may use User Content incorporated into derivative works as allowed by Services Agreements. Private or password-protected User Content will not be used for promotion. If you host content with us, you retain your ownership or licensed rights in User Content.

Weecks Productions, LLC dba LiveViral Media Data. User Content does not include “Weecks Productions, LLC dba LiveViral Media Data,” which comprises: (a) information related to our business and Services, including PII about you or your representatives; (b) data about your Account, transactions, or identity verification; and (c) aggregated, pseudonymized, or anonymized PII, subject to applicable data protection laws. You have no rights to Weecks Productions, LLC dba LiveViral Media Data.

8. AVAILABILITY OF SITE/SERVICES

We will use commercially reasonable efforts to provide the Site and Services 24/7, unless defined otherwise for service-specific items, subject to this Agreement and our policies. You acknowledge that the Site or Services may be unavailable due to maintenance, equipment failures, crew or contractor availability, equipment availability, or causes beyond our control, such as network issues or attacks. We are not liable for interruptions or unavailability.

9. MONITORING AND MODERATION OF CONTENT

You agree not to provide Prohibited Content when submitting information through our systems, including hosting services and contact forms, or the Site, or to LiveViral Media directly. We generally do not pre-screen User Content but reserve the right to review and determine its compliance with this Agreement. We may remove Prohibited Content, suspend, or terminate access for violations, including repeat offenses, without notice. We may also destroy data stored on our servers upon termination. We reserve the right to review Account activity for risks to our systems and adjust Service settings as needed to protect our operations.

10. FEES AND PAYMENTS

General Terms. You agree to pay all amounts due for Services at the time of order. All payments are non-refundable unless specified in the Refund Policy below. We may change prices at any time, with changes posted on the Site or notified by email, effective immediately or upon renewal for existing Services. You may pay using valid credit cards, PayPal, electronic payments, or other methods we designate (“Payment Method”). We may store and use your Payment Method for future purchases or renewals. You must maintain valid Payment Methods in your Account.

Refund Policy. No refunds will be issued after 14 days from the date of payment for any Services. Refund requests within 14 days are subject to our discretion and must be submitted in writing to legal@liveviralmedia.com. Refunds, if approved, will be issued to the original Payment Method, subject to processing delays beyond our control. If refund limitations apply, we may issue refunds as in-store credit or bank transfers.

Administrative Fees. We may charge reasonable administrative fees for tasks outside normal Service scope, additional costs incurred, or your non-compliance with this Agreement, as determined in our discretion. Such fees will be billed to your Payment Method.

Currency and Taxes. Transactions are processed in the currency selected at checkout. You may incur foreign transaction fees or taxes (e.g., VAT, GST) based on your bank or billing address, for which you are responsible.

11. ADDITIONAL RESERVATION OF RIGHTS

We reserve the right to access any Account or data hosted through our Services and to deny, cancel, suspend, lock, or modify access to any Account or Services for reasons including: (i) correcting errors; (ii) protecting system integrity; (iii) fraud prevention; (iv) compliance with laws, court orders, or law enforcement requests; (v) dispute resolution; (vi) defending legal actions; or (vii) responding to excessive complaints. We may review Accounts for excessive resource use and terminate or charge additional fees for overuse. We may terminate Services without notice if you harass or threaten our staff, representatives, contractors, or other Weecks Productions, LLC affiliates.

Weecks Productions, LLC dba LiveViral Media Content. Except for User Content, all content on the Site and Services, including text, graphics, and trademarks (“Weecks Productions, LLC dba LiveViral Media Content”), is owned by or licensed to us and protected by U.S. and international intellectual property laws. It is provided “as is” for personal, non-commercial use only and may not be copied or exploited without our consent. No additional rights are granted.

12. NO SPAM; LIQUIDATED DAMAGES

We prohibit spam, defined as unsolicited commercial or bulk email, texts, or faxes sent without prior consent, including advertisements lacking opt-out mechanisms. If using our hosting services or otherwise utilizing the Site, you must comply with laws like the CAN-SPAM Act and Telephone Consumer Protection Act. Commercial messages require opt-in consent and proof thereof upon request. If we suspect spam, we may redirect, suspend, or cancel Services and charge a non-refundable reactivation fee. Report suspected spam to legal@liveviralmedia.com. If we terminate an Account for spam, you agree to pay $1.00 per instance or piece of spam as liquidated damages, as actual damages are difficult to calculate.

13. TRADEMARK AND COPYRIGHT CLAIMS

We support intellectual property protection. To submit a trademark or copyright infringement claim, contact us at legal@liveviralmedia.com with details of your valid, registered mark or copyright.

14. LINKS TO THIRD-PARTY WEBSITES

The Site and Services may link to third-party websites not controlled by us. We are not responsible for their content, policies, or practices. Your use of such websites is at your own risk, and we encourage you to review their terms and policies.

15. DISCLAIMER OF REPRESENTATIONS AND WARRANTIES

The Site and Services are provided “as is,” “as available,” and “with all faults.” Weecks Productions, LLC dba LiveViral Media, its officers, directors, employees, agents, and third-party providers disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We make no representations about the accuracy or completeness of the Site, Services, or linked sites, or about our actions under this Agreement. No advice from us constitutes legal or financial advice or creates a warranty. This disclaimer applies to the fullest extent permitted by law and survives termination.

16. LIMITATION OF LIABILITY

Weecks Productions, LLC dba LiveViral Media, its officers, directors, employees, agents, heirs, assigns, and third-party providers shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from: (i) Site or Services content; (ii) linked sites; (iii) Service interruptions; (iv) unauthorized access to data; (v) viruses or harmful code; (vi) User Content; or (vii) your use of the Site or Services. Our total liability shall not exceed $1,000.00 USD. This limitation applies to the fullest extent permitted by law and survives termination.

17. INDEMNITY

You agree to indemnify and hold harmless Weecks Productions, LLC dba LiveViral Media, its officers, directors, employees, agents, and third-party providers from any claims, costs, losses, or damages (including attorneys’ fees) arising from: (i) your use of the Site or Services; (ii) violation of this Agreement or incorporated policies; or (iii) violation of third-party rights. This obligation survives termination.

18. COMPLIANCE WITH LOCAL LAWS

We make no representation that the Site or Services are appropriate in every jurisdiction. Access from jurisdictions where content is illegal is prohibited. You are responsible for compliance with local laws.

19. DISPUTES AND GOVERNING LAW

Governing Law. This Agreement is governed by the laws of the State of Arizona, without regard to conflict of law principles.

Dispute Resolution. Any disputes arising from this Agreement shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. Both parties consent to the jurisdiction and venue of such courts. You waive any right to a jury trial.

Notice of Dispute. Before initiating legal action, you must send a written notice to Weecks Productions, LLC dba LiveViral Media at PO Box #1702, Sun City, AZ 85372, Attn: Legal Department, detailing the dispute and requested relief. We will attempt to resolve the dispute within 60 days. If unresolved, either party may pursue legal action in Maricopa County, Arizona.

20. UNCLAIMED PROPERTY

If your Account has an outstanding credit balance for three (1) year or more, you will forfeit those funds and we may turn it over to the State of Arizona as unclaimed property.

21. SUCCESSORS AND ASSIGNS

This Agreement binds and benefits the parties and their respective heirs, successors, and assigns.

22. NO THIRD-PARTY BENEFICIARIES

This Agreement does not confer rights or benefits on third parties.

23. U.S. EXPORT LAWS

The Site and Services are subject to U.S. Export Laws. You shall not use the Services to collect or transmit controlled technical data, export Services in violation of these laws, or access Services from embargoed countries or by denied persons. You warrant compliance with U.S. Export Laws, including anti-boycott and deemed export regulations. This obligation survives termination.

24. SEVERABILITY

If any provision of this Agreement is found unenforceable, it shall be severed, and the remaining provisions shall remain in effect. Headings are for convenience and do not affect interpretation.

25. ENGLISH LANGUAGE

This Agreement is executed in English. Any translations are for convenience only, and the English version controls unless required by law, in which case both versions are equally valid, and discrepancies will be resolved based on the parties’ intent.

26. Screen Share and Remote Support Sessions

LiveViral Media facilitates remote support and screensharing services through a third-party platform, HelpWire (http://helpwire.app/), for technical assistance and service delivery. By initiating a remote support session, you agree to the following additional terms:

• Consent-Based Access: Remote sessions require explicit consent from the user before access is granted. By launching the HelpWire application and approving the connection, you authorize our representatives to view, access, and control your device for support purposes.
• Scope of Access: During the session, the technician may view or interact with files, applications, or system settings. It is your responsibility to close or secure any confidential or sensitive information prior to granting access.
• Security Standards: HelpWire employs industry-standard encryption protocols, including TLS/SSL and AES-256, to protect data in transit. Remote access is authenticated through the Auth0 identity platform and hosted on secure AWS servers.
• Session Termination: You may revoke access and terminate the session at any time through the HelpWire interface or designated keyboard shortcut.
• Limitation of Liability: Weecks Productions, LLC dba LiveViral Media is not liable for any data loss, device changes, or software issues arising during or following a remote session.
• Indemnification: You agree to hold harmless and indemnify Weecks Productions, LLC dba LiveViral Media and its affiliates against any claims, losses, or damages resulting from the session, including those due to actions taken by the technician at your direction or consent.

Do not proceed with any remote session unless you fully understand and agree to these terms. Contact legal@liveviralmedia.com with any questions before initiating support.
